كان لقيام المؤلف بتدريس مادة القانون التجاري، لطلبة كلية الحقوق في جامعة عمان الأهلية، الدافع المباشر في التفكير بوضع هذا الكتاب الذي أعد في البداية على شكل محاضرات مطبوعة لتكون في متناول الطلبة في دراستهم للمقرر الأول من القانون التجاري، والذي يشمل المبادئ العامة للقانون التجاري، والأحكام الخاصة، بالأعمال التجارية، والتاجر، والمحل التجاري، والعقود التجارية، والتجارة الإلكترونية.
وبسبب ندرة المؤلفات في شرح أحكام قانون التجارة الأردني، فقد انتهى المطاف بالمؤلف إلى إصدار المحاضرات المذكورة على شكل كتاب توخى في إعداده سهولة الأسلوب، ووضوح المعنى، والتركيز على شرح النصوص التي وردت في قانون التجارة رقم (12) لسنة 1966 والقوانين الأخرى أو الأنظمة المكملة للقانون المذكور، مع التعديلات الواردة عليها لغاية سنة 2008.
وقد حاول عدم الإكثار من المناقشات الفقهية أو المقارنات بين التشريعات المختلفة لكي تبقى الصورة واضحة عن أحكام القانون الأردني. غير أنه قد أشار في مواضع عديدة إلى أوجه الاختلاف بين أحكام القانون الأردني، والقوانين العربية، التي تعتبر مصدراً تاريخياً له كقانون التجارة اللبناني وقانون التجارة السوري.
اشتمل هذا المؤلف إضافة إلى الباب التمهيدي الخاص بنشوء القانون التجاري وتطوره، على أربعة أبواب. خصص الباب الأول منها للأعمال التجارية وأنواعها، والباب الثاني: للتاجر والمحل التجاري، أما الباب الثالث فقد بحث أحكام بعض العقود التجارية التي وردت في القانون، وهي: عقود الرهن التجاري، النقل، الوكالة، بالعمولة، والسمسرة. كما تم فراد باب خاص بالتجارة الإلكترونية هو الباب الرابع والأخير.
