يشير هذا الكتاب إلى الاحكام التي وردت في القانون الشركات الاردني بشأن شركة المساهمة العامة المحدودة من خلال التعريف بالشركة وخصائصها وطبيعنها القانونية المتضمنة نظرية العقد ونظرية المؤسسة او المنظمة وموقف التشريعات من النظريتيين ثم يتناول تأسيس شركة المساهمة من خلال التعريف بالمؤسسين والشروط الواجب توافرها في المؤسس واجراءات التأمين كما يتناول رأس مال الشركة وأسهمها وأنواع هذه الاسهم وخصائصها ويعرض حصص التأسيس وفي فصل الكتاب الرابع يطرح الاكتتاب وانواعه والاجراءات التمهيدية له والاعلان من ارادة المكتتب وتنمية الاكتتاب والطبيعة القانونية للاكتتاب. ويطرح في فصله الخامس اجتماع الهيئة التأسيسية واعلان التأسيس النهائي للشركة من خلال عدة مباحث من مثل:ـ اختصاصات الهيئة التأسيسية والطعن في صحة تأسيس الشركة ثم يطرح الكتاب إصدار الاسهم وتداولها وتعديل رأس مال الشركة المساهمة من خلال زيادة رأس المال وطرق الزيادة او تخفيض رأس مال الشركة كما يعرض للاسناد القرض وادارة الشركة المساهمة والهيئة العامة للشركة المساهمة وحسابات الشركة وأرباحها وتصفية الشركة وفسخها وانواع خاصة من شركات المساهمة كالشركات القابضة والشركة المعفاة ويتناول في النهاية الشركات الاجنبية العاملة في المملكة.
