يتناول هذا الكتاب في الباب التمهيدي التعريف بالقانون التجاري بأنه ذلك الفرع من فروع القانون الخاص الذي يحكم الفئة من الأعمال تسمى الأعمال التجارية وينظم حرفة التجارة وذاتية القانون وتحديد نطاق القانون التجاري وظهور تطور القانون ومصادر القانون التجاري المسنونة وغير المسنونة ويشير في الباب الأول من الكتاب الى العمل التجاري والعمل المدني فيسومه معيار التفرقة بين العمل التجاري والعمل المدني وأهمية التفرقة بينهما ثم يذكر الأعمال التجارية والأوراق التجارية وعامل التجارة البحرية والأعمال التجارية بالتبعية والأعمال التجارية المختلفة ثم يشير الى كيفية اكتساب صفة التاجر من احتراف ممارسة الأعمال التجارية الى الأهلية وقيامه بالأعمال التجارية مستقلا ولحسابه الخاص والآثار التي تترتب على اكتساب الصفة التجارية ثم ينتقل الى الالتزام بمسك الدفاتر التجارية ونطاق الالتزام بمسكها وأحكام تنظيم الدفاتر التجارية والالتزام بالتسجيل في سجل التجارة وطريقة التسجيل والأشخاص الملزمين بالتسجيل ومواعيد التسجيل والإعلان عن التسجيل وشطب التسجيل والجزاءات المترتبة على عدم التسجيل وعدم دفعة ثم يشير الى المحل التجاري ومفهومه ومقومات المحل التجاري والعناصر المادية في المحل التجاري وطبيعة المحل التجاري وخصائصه ثم الطبيعة القانونية للمحل التجاري وحمايته من المنافسة ودعوى المنافسة غير المشروعة وشروطها وأطرافها وأثارها ويتناول في القسم الثاني من الكتاب العقود المشتركة وأحكامها والحرية في إنشائها وحرية الإثبات في العقود التجارية والأسلوب الخاص فيتم تنفيذها وسهولة تدويل قواعد القانون التجاري ويوضح القواعد العامة للبيوع التجارية والتزامات البائع والتزامات المشتري عند عملية البيع المحل التجاري.
