ينقسم إلى: الفصل الأول التعريف بالقانون، الفصل الثاني: مبررات إستقلال القانون التجاري، الفصل الثالث: خصائص القانون التجاري، الفصل الرابع: معيار التفرقة بين العمل التجاري والعمل المدني، الفصل الخامس: أهمية التفرقة بين العمل التجاري والعمل الميداني.
وتنقسم خطة البحث إلى أولاً: باب تمهيدي: تعريف القانون التجاري، الباب الأول: الأعمال التجارية، الباب الثاني: التاجر، الباب الثالث: الأموال التجارية.
والتجارة مع الناس أياً كان مقاصدها والغاية منها، لابد لها من تشريع وضعي ينظمها.. هذا التشريع الوضعي يطلق عليه- في معظم الدول- اسم التشريع التجاري أو القانون التجاري، وقد صدر القانون التجاري في 17 مايو سنة 1999 متضمناً تغييراً جذرياً في القواعد التجارية المعمول بها في مصر وكان طبيعياً إن نلاحق هذا التغيير حتى يتواكب منهج الدراسة مع آخر ما وصل إليه القانون التجاري الجديد من أحكام.
