يشير هذا الكتاب الى التطور التاريخي لنظام "الصلح الواقي من الإفلاس" لما تتمتع به دراسة التطور من أهمية في تبيان الظروف والمتطلبات التي أدت الى القيام هذا النظام وتتبع مراحل تطور من بداية القانون الروماني الشريعة الإسلامية التشريع الفرنسي التشريع الإنجليزي الولايات المتحدة الأمريكية وأخيراً الأردن ولبنان ومصر وتونس ويتناول شروط الصلح الواقي الموضوعية والشكلية وتصديق المحكمة عليه وأثاره بالنسبة للمدين وللدائنين وآثار في الشركات ثم يتناول فعالية هذا النظام وواقعة في العراق والظروف المؤثرة في النظام الصلح العراقي وتعديل أحكام الصلح الواقي وطلب تقسيط الدين ثم يشير الى أوامر الإدارة في القانون البريطاني موضحاً طلب أمر الإدارة والمدير في أمر الإدارة واجتماع الدائنين وحماية مصالحهم وانتهاء أمر الإدارة وأهداف النظام الإنقاذ والأشخاص الذين لهم حق الانتفاع به والإشعار ببوادر الصعوبات الاقتصادية والتسوية الرياضية والتسوية القضائية والتفليس والتسوية القضائية والفترة التمهيدية وفترة المراقبة ومواصلة المؤسسة لنشاطها وإحالة المؤسسة للغير ثم يتناول نظام الصلح الواقي من الإفلاس بين التطوير والإلغاء حيث يشير الى ظروف الأخذ بنظام الصلح وتغيرها وظروفها وتعقيد وطول إجراءاته وتغير الظروف الاقتصادية ومدى النجاح من الإفلاس والأسس التي يتعين أن يقوم عليها هذا الصلح فهو يذكر حجم وأهمية الشروع التجاري والتميز بين المشروع التجاري وشخص التاجر وتعيين مدير يتولى إدارة المشروع التجاري والتخلص من النظرية التقليدية للصلح الواقعي ودمج إجراءات الصلح الواقي مع إجراءات الإفلاس والتخلص من الإجراءات الطويلة المعقدة.
