تمثل التجارة أهمية خاصة في الحياة البشرية، فهي تشكل حجر الزواية في النظام الإقتصادي للدولة، وتبرز هذه الأهمية بصورة واضحة لدى الشعوب المستهلكة، التي تعتمد في معيشتها على شراء حاجياتها من السوق.
ولما كان ميدان التجارة شديد الحساسية، يقوم على الإئتمان والثقة في التعامل بين التاجر ودائنيه ومدينيه، ولما كانت العمليات التجارية بحكم طبيعتها متشابكة، وكل طرف فيها يعتمد في تسديد ديونه على ما يدفعه له الطرف الآخر عند حلول الأجل، فقد سارعت التشريعات المختلفة إلى وضع أنظمة قانونية، بهدف حماية مهنة التجارة، وحماية التاجر، وضمان حق الدائنين الذين يتعاملون معه.
ولعل من أهم تلك الأنظمة، نظام الإفلاس الذي يهدف إلى الوصول بالتاجر المتوقف عن الدفع إلى طريق ترضى عنه جماعة الدائنين، وذلك متى كان إنقطاعه عن الدفع راجعاً إلى ظروف لا حول ولا قوة له نحوها.
يعالج هذا الكتاب جرائم الإفلاس نظراً لما تشكله تلك الجرائم من خطورة على الحياة التجارية. وقد قسم المؤلف دراسته إلى عدة أبواب توزعت وفق ما يلي: تناول الباب الأول من الكتاب من خلال مبحثين، بحث الأول فيها في الصفة التجارية من حيث بيان مدلولها وشروطها وآثارها، وبحث الثاني في التوقف عن الدفع وتحقق الضرر، وعالج الباب الثاني أركان جرائم الإفلاس، حيث تناول الفصل الأول جرائم المفلس، من خلال مبحثين تناول الأول الإفلاس الاحتيالي، وبحث الثاني جرائم غير المفلس، في خمسة مباحث تناول الأول جرائم الشركات المتصلة بإفلاسها، وتناول الثاني جرائم الغير المعاقب عليها بعقوبة الإفلاس الاحتيالي، وأما الثالث فتناول جرائم الدائن، أما الرابع فتناول جرائم وكيل الدائنين، وتناول الخامس جرائم أقارب المفلس، وأخيرا تناول الخامس الجرائم التي يرتكبها الوصي أو الولي الذي يدير تجارة القاصر.
