موضوع الإفلاس هو من المواضيع القديمة التي عرفتها الشعوب منذ عصور وهذا النظام ليس نظاماً جديداً أو مستحدثاً ، كما إن هذا النظام يتسم بالجماعية بغية تصفية أموال المدين وتوزيعها على الدائنين كل بنسبة ماله حق تجاه المدين لتحقيق المساواة بين الدائنين .
تطبيق نظام الإفلاس لا يقتصر على الشخص الطبيعي وإنما يطبق أيضاً على الشخص المعنوي لكن هناك عدة فروقات بين كيفية تطبيق هذا النظام على الفرد كشخص طبيعي والشركة كشخص معنوي كون الشركة ذات سمات وخصائص معينة تختلف في بعض الحقوق والواجبات التي لا تتناسب مع الأشخاص المعنوية بل تكون ملازمة للشخص الطبيعي ، بالرغم من تطبيق نظام الإفلاس على الشركات كشخص معنوي لكن تطبيقه لا يكون عموماً على كل الشركات بل تلك الشركات التي تمارس العمل التجاري أي أن تكون شركة تجارية وتكون لها شخصية معنوية بذاتها . لتطبيق هذا النظام هناك عدة شروط معينة نص عليها القانون منها شروط موضوعية التي تتمثل في أن تكون الشركة تجارية وأن تتوقف عن دفع ديونها التجارية وشرط أخير شكلي يتمثل في صدور إفلاس الشركة من المحكمة المختصة . ويتميز هذا الحكم بصفة خاصة تميزه عن الأحكام الأخرى .
ومن يوم صدور الحكم بإشهار إفلاس الشركة تغل يدها عن إدارة أموالها والتصرّف فيها ، كما ولا تستطيع القيام ببعض الأعمال القانونية كرفع الدعاوى واتخاذ الإجراءات القضائية ، بل إنّ أمين التفليسة هو الذي يقوم مقامها في اتخاذ تلك الأعمال وغيرها ، وهذا الحكم لديه آثار معينة منها امتداد آثار الإفلاس إلى القائمين بإدارة الشركة من ضمنهم أعضاء مجلس الإدارة أو المدير المفوض أو أي شخص آخر يكون قد عيّن مديراً للشركة وليس تقصيره على الشركة ذاتها أو الشركاء فيها. لذلك أجاز المشرّع إلزام هؤلاء بأن يدفعوا كل ديون الشركة أو بعضها عند ارتكابهم أخطاء جسيمة وعدم بذلهم الجهد اللازم أو عدم كونهم حريصين في تدبير شؤون الشركة وأعمالها.
