الإفلاس نظام قانوني يطبَّق على التجار المتوقفين عن دفع ديونهم التجارية، أو الذين لا يدعمون الثقة المالية بهم إلا بوسائل غير مشروعة، وإذا كان عدم تطبيق العقاب على الإفلاس متى كان وليد ظروف لا دخل لإرادة التاجر في وقوعها وبالتالي لا يتدخل المشرع جزائياً بالعقاب عليها، أو نتيجة أخطاء يسيرة لا يمكن التجاوز عنها، فإن تطبيق المسؤولية الجزائية ضروري متى اقترنت بالإفلاس أفعال تنطوي على غش أو إحتيال، أو خطأ جسيم في إدارة أعمال التاجر، ومن أجل ذلك كان من واجب المشرع التدخل جزائياً بالعقاب على مثل هذه الأفعال.
وتكمن أهمية الموضوع في معالجة حالات الإفلاس المتزايدة في لبنان في الوقت الحاضر، حيث تشهد المحاكم عدداً كبيراً من دعاوى الإفلاس في هذه الظروف الإقتصادية الصعبة التي يمر بها لبنان.
أما أهمية البحث من الناحية التطبيقية: إلقاء الضوء على الثغرات في القوانين الجزائية سواء التقليدية أو المتخصصة والقوانين التجارية، وحدود التنازع بينهما، والمساهمة في تعزيز النشاط القانوني والشريعي والبدء بدراسة مشاريع قوانين تتعلق بجريمة الإفلاس الجزائي وما يتعلق بها من قانون خاص للعقاب على جريمة الإفلاس وأمن المتعاملين وحمايتهم.
