يرتبط ظهور القانون التجاري الحديث بانتعاش الحركة التجارية وتطورها في إيطاليا وسائر مدنها، حيث انتعشت حركة التجارة ما بين الشرق والغرب، مما عجّل بنمو طوائف التجار الذين أصبحت لهم تقاليدهم وأعرافهم الخاصة. وكان أول قانون للتجارة هو ما أطلق عليه "قانون التجار". وقد حدثت تطورات كثيرة حتى إذا كان منتصف القرن التاسع عشر، انتقلت أحكام التقنين التجاري الفرنسي إلى لبنان مع صدور قانون التجارة العثماني عام 1850. وظل هذا القانون نافذ المفعول حتى صدور قانون التجارة اللبناني بالمرسوم الاشتراعي رقم 304 بتاريخ 24 كانون الأول/ديسمبر 1942.
وفي هذا الكتاب المؤلف من جزئين، يلقي المؤلف الضوء على القانون التجاري اللبناني، فيعرض في الجزء الأول لنطاق تطبيق القانون التجاري، وبعض أنظمة هذا القانون. كما يتناول المؤلف الأحكام القانونية المنظمة للشركات التجارية، حيث تنقسم هذه الدراسة على ضوء ذلك إلى ثلاثة أقسام رئيسية، القسم الأول: يعرض فيه لنطاق القانون التجاري، والقسم الثاني: يعرض فيه لبعض أنظمة التجار، فيعرض من خلال ذلك للالتزامات القانونية التي يخضع لها التجار؛ كما يعرض لأحكام المحل التجاري أو المؤسسة التجارية في مفهوم المشروع اللبناني. أما القسم الثالث: فيتناول دراسة الشركات التجارية والأحكام العامة لهذه الشركات، ثم يتناول بالدراسة الأحكام الخاصة بشركات الأشخاص، والأحكام الخاصة بشركات الأموال.
وفي الجزء الثاني من الكتاب يعرض المؤلف موضوعات القانون التجاري في قسمين رئيسين، القسم الأول: يتناول بالتنظيم الأعمال التجارية التي يتكوّن من مجموعها النشاط التجاري، حيث تعد العقود التجارية والعمليات المصرفية أهم صور الأعمال التجارية. أما القسم الثاني، فهو يتضمن الأحكام المتعلقة بالتجار كفئة تحترف القيام بالأعمال التجارية.
