يضم هذا المؤلف أربعة موضوعات رئيسية لنظم القانون التجاري هي العقود التجارية، والعمليات المصرفية، والأوراق التجارية، والإفلاس.
وقد تمّ توزيع هذه الموضوعات على جزئين: يضم الأول العقود التجارية والعمليات المصرفية يوصفها التعبير عن الأنشطة التجارية أو بالأحرى عن التنظيم القانوني للعلاقات الناشئة بمناسبة مزاولة الأنشطة التجارية.
بينما يضم الجزء الثاني الأوراق التجارية والإفلاس بوصفها موضوعين يتعلقان بالإئتمان التجاري: فالأول يمثل النظام القانوني لأدوات تسوية الديون الناشئة عن الأعمال التجارية بصفة أساسية، أما الإفلاس فهو النظام القانوني الخاص الذي يواجه أزمة تسوية الديون التي يعاني منها التاجر نتيجة تصور أو إضطراب في أحواله المالية، وهو ما لم يكن يقتضيه سوى إنتشار الإئتمان التجاري لظاهرة سائدة في الحياة التجارية.
وعلى ذلك فقد انقسم هذا المؤلف إلى جزئين وذلك على النحو التالي: الجزء الأول: في العقود التجارية والعمليات المصرفية، الجزء الثاني: في الأوراق التجارية والإفلاس.
