تتخذ العقود التأجيرية، بكافة أنواعها وأشكالها، سواء المدنية أو التجارية، حيزاً مهماً في تشريعات الدول، كونها تعكس الوضع الإقتصادي، الحضاري، الإنمائي، الإجتماعي، والسياسي للدولة المعنية، إذ غالباً ما تعمد التشريعات، في فترات معينة، للحد من مبدأ حرية التعاقد، كي لا يؤدي لأزمة كان بالإمكان الحؤول دونها، خصوصاً في العلاقات التأجيرية.
تهدف هذه الدراسة لإلقاء الضوء على حقوق أطراف العلاقة التعاقدية التأجيرية، أي لمالك عقار المؤسسة التجارية وصاحبها، وفق المرسوم الإشتراعي وفي ظل القانونين، الإستثنائي 160/ 92 وقانون الإيجار العام المنصوص عليه في قانون الموجبات والعقود في الكتاب الرابع، القسم الخاص بعقد الإيجار، في الباب الأول، الثاني، والثالث، أي من المواد 533 إلى 601 بإستثناء الباب الرابع المتعلق في إيجار الأراضي الزراعية.
فالغاية هي إظهار الإشكاليات التي تتبلور من خلال العقبات المواجهة لأطراف العلاقة التأجيرية، إن كانت من الناحية الإجتماعية، القانونية، وحتى مدى دستورية التمديد الحكمي بقوة القانون المنصوص عنه في القانون 160/ 92، الذي يبقى ضارباً بعرض الحائط مبدأ التعاقد الحر، أيضاً في مدى الإنعكاس السلبي على المؤسسات التجارية في ظل هذا المبدأ الأخير.
تطرق المؤلفة لحقوق مالك العقار (المؤجر) بخصوص العقود التي يجريها مالك المؤسسة التجارية، مبرزاً فيها عدة آراء فقهية وإجتهادية، توصلاً لحل منطقي وسليم.
بالإضافة لعرض بعض من الحلول التي اختطتها إجتهادات المحاكم العربية والغربية، لا سيما المصرية والفرنسية، وغيرها؛ أيضاً إشارة لبعض النصوص المشتركة في التشريعات، منها المصرية والفرنسية.
