Book Description
القانون التجاري هو ذلك الفرع من فروع القانون الخاص الذي يحكم فئة معينة من المعاملات هي الأعمال التجارية وطائفة معينة من الأشخاص هم التجار. وأشخاص القانون التجاري ليسوا هم فقط الأشخاص الطبيعيين الذين يحترفون القيام بالأعمال التجارية، بل يمتد وصف التاجر ايضاً لبعض الأشخاص المعنوية التي تؤدي دوراً هاماً على مسرح الحياة الاقتصادية ونعني بهم الشركات. ويستعين التاجر في مزاولته لمهنته التجارية ببعض الأموال المادية والمعنوية التي يتكون من مجموعها ما يطلق عليه "المحل التجاري" أو "المؤسسة التجارية".
ومن بين أهم العناصر المعنوية التي تدخل في تكوين هذا المحل حقوق الملكية الصناعية، وهي تلك الحقوق التي ترد على براءات الاختراعات والرسوم والنماذج الصناعية والعلامات والبيانات التجارية والأسماء التجارية. ويلجأ التاجر إلى تسيير نشاطه التجاري عن طريق الاستعانة بالأوراق التجارية كأدوات للوفائ والإئتمان. كما يجد نفسه مضطراً إلى إبرام الكثير من العقود اللازمة لتجارته. وتمثل البنوك بالنسبة للتاجر عوناً له في الحصول على الإئتمان اللازمخ لمباشرة أعماله التجارية. ومتى عجز التاجر عن سداد ديونه التجارية عند حلول مواعيد استحقاقها كان الجزاء هو شهر إفلاسه بما يترتب على ذلك من آثار خطيرة بالنسبة له.
وتفصيلاً لما تقدم تنقسم الدراسة في هذا الموجز المعنون بـ: "القانون التجاري" إلى ثلاثة أبواب رئيسة تمّ الحديث فيها وبالتفصيل عن ما يلي من الموضوعات:
الباب الأول الأعمال التجارية وفي هذا الباب تمّ التطرق إلى ثلاثة مواضيع هي: ضوابط تجارية العمل، أهمية التمييز بين العمل التجاري والعمل المدني، الأنواع المختلفة للأعمال التجارية. أما الباب الثاني: فاحتوى على دراسة تفصيلية في موضوع التجار وفيه تمّ التطرق لموضوعين الأول صفة التاجر والثاني المركز القانوني للتاجر، أما الباب الثالث والأخير فخصص لموضوع الشركات وفيه معالجة الموضوعات التالية: النظرية العامة للشركة، شركات الأشخاص، شركات الأموال.
