نظراً لأهمية نقل التكنولوجيا للدول النامية في تحقيق التنمية الإقتصادية عن طريق إستخدام المعرفة الفنية الحديثة فقد أبرزت هذه الدول قضية التكنولوجيا أمام المحافل الدولية لتلبية هذه الحاجة وتنظيم مسألة نقل التكنولوجيا إليها بصورة تمكنها من تحقيق غايتها.
وقد أتت هذه الجهود ثمارها يتبني منظمة الأمم المتحدة لهذه المسألة وعقد أول مؤتمر في عام 1975 لهذه الغاية، ثم عقدت مؤتمرات لاحقة وعلى مستويات متعددة أسفرت عن وضع مشروع تقنين لقواعد سلوك نقل التكنولوجيا الذي لم يبلغ حد الإتفاق على كل مسائله وإعتباره تقنيناً ملزماً للدول المشاركة فيه، مما جعل امر هذه الإتفاقات رهيناً بإرادة أطرافها ومركزها الإقتصادي والتكنولوجي مما يحتم معه توجيه الدراسات والأبحاث لتحديد مفهوم المعرفة الفنية والآليات القانونية لنقلها.
لقد ظهر عقد الإمتياز كأحد أهم الآليات القانونية لتحقيق هذه الغاية إذ أنه يحقق إلتقاء مصالح كل من طرفيه ربما تعجز العقود التقليدية عن تحقيقها فقد وجدت فيه المشروعات الكبرى أسلوباً مناسباً للسيطرة على الأسواق من خلال خلق آلية جديدة تقوم على المزاوجة الحادقة بين المعرفة الفنية والعلامة التجارية دون التعرض لمخاطر الإستثمار المباشر في حين يلبي حاجة الدول النامية في تحقيق إثراءس تقني مقترن بعلامة تجارية تعزز قدرتها على المنافسة.
من هنا، اختاره المؤلف موضوعاً لهذه الدراسة لسبر غور جوانبه المختلفة، وما يثيره من مشاكل متعددة؛ وللإحاطة بالموضوع، تم تقسيم الكتاب إلى بابين كالتالي: الباب الأول: مفهوم عقد الإمتياز؛ الباب الثاني: أحكام عقد الإمتياز.
