إن قيام الإلتزام على عاتق المدين يجعله مسؤولاً عن تنفيذه من أجل إنقضاء هذا الإلتزام، فإن لم يقم بالأداء إختياراً فإن هذا يعطي الحق للدائن باللجوء إلى القضاء من أجل الحصول على حقه جبراً، غير أنه في كثير من الأحيان نجد أن أحد الأشخاص يقوم بأداء الدين الذي على عاتق المدين من أجل تخليصه من الإجراءات التنفيذية، وهو إذ يقوم بهذا التصرف أما يقوم به قاصداً التبرع للمدين فتنتهي المسألة إلى هنا ولا تثور أية مشكلة، أو قد يقوم بهذا التصرف ناوياً الرجوع على المدين من أجل إستيفاء حقه وهذا هو الغالب في الحياة العملية وهو إذ يرجع على المدين.
فإنه بالخيار أما أن يرجع بالدعوى الشخصية التي تنشأ له من واقعة الوفاء وهي أما دعوى وكالة أو فضالة أو دعوى إثراء بدون سبب بحسب الأحوال، وأما يرجع بدعوى الدائن الذي أوفى بحقه، عندما يقوم بهذا الوفاء قاصد الحلول محل الدائن الأصلي، وذلك على أساس دعوى الحلول.
فالحلول الشخصي هو تصرف يقوم بمقتضاه شخص غير المدين بأداء الدين للدائن على أن يبقى محتفظاً بحق الرجوع على المدين لإستيفاء ما دفعه عنه محتفظاً بذات الوقت بكل ما لهذا الدين من ضمانات وتأمينات.
وعلى ضوء الإعتبارات المتقدمة ولإعتقادنا بحاجة المكتبة القانونية العراقية والعربية إلى بحث خاص ومستقل بهذا الموضوع، حيث أن معظم الفقهاء والكتاب الذين تطرقوا إليه لم يتناولوه بشكل مستقل ومفصل وإنما بشكل عرضي عند دراسة طرق إنقضاء الإلتزام بإعتباره أحد هذه الطرق، ولهذه الأسباب قررنا البحث في هذا الموضوع لمعالجة نظام الوفاء مع الحلول بشكل شامل.
وقد وزعنا هذا الكتاب على ثلاثة فصول يسبقها مبحث تمهيدي تناولنا فيه التطور التاريخي لنظام الحلول، وقد قسمنا هذا الفصل إلى مبحثين خصصنا الاول لتحديد مفهوم الوفاء مع الحلول، أما الثاني فقد خصصناه لتمييز نظام الحلول عن الأوضاع التي قد تشتبه به.
أما الفصل الثاني فقد خصص لدراسة حالات الحلول، وقسم إلى مبحثين خصصنا الأول منه إلى حالة الحلول القانوني، أما الثاني فقد خصصناه لحالة الحلول الإتفاقي.
وأما الفصل الثالث فقد بحثنا فيه آثار الوفاء مع الحلول، وقسم إلى مبحثين أيضاً تناولنا في البحث الأول المبدأ العام في الحلول، أما المبحث الأثني فقد تناولنا فيه الإستثناءات والقيود التي ترد على هذا المبدأ، وفي الخاتمة أوجزنا أهم النتائج والمقترحات التي توصلنا إليها.
