بسبب التطور الهائل للاتصالات على مستوى العالم، وتزايد عدد المشروعات الكبيرة أوجد كل ذلك التزامًا على عائق المشرع بضرورة إيجاد حلول جديدة؛ لأن التعاملات التي تتم بالبورصة- في بعض الأحيان- تعيق وظيفة سوق المال؛ لأنها تستفيد من المعلومات المميزة عن الأوراق المالية المتداولة بالبورصة. لذلك تدخلت السلطة التشريعية عن طريق تعديل النصوص العقابية التي تتناسب مع التعاملات غير المشروعة بالبورصة وبسبب صعوبة وظيفة سوق المال فمبدأ مشروعية الجرائم والعقوبات بالقانون الجنائي الحالي لا يتناسب مع التطور الذي حدث للجريمة في الجوانب المختلفة عن جرائم القانون الجنائي التقليدية، فيجب على السلطة التشريعية أن تتدخل لكي تعاقب على التعاملات غير القانونية المخالفة لوظيفة سوق المال.
والسبب في اختيار القانون الفرنسي لعمل هذه الدراسة المقارنة هو أن تنظيم هذا المجال يعتبر أكثر انتشارًا في هذا القانون؛ ولأن القانون الفرنسي واحد من أهم وأقدم القوانين في هذا المجال ما لم يكن أقدمهم.
ولأن قانون العقوبات هو "مجموعة من القواعد القانونية التي تحدد الأفعال التي تعد جرائم وتبين العقوبات المقررة لها"، ولكون هذه القواعد غير صالحة بمفردها للتطبيق؛ وعلى ذلك لذا يجب أن تكون هناك إجراءات محددة لكي توقع العقوبة على من يقترف الفعل الإجرامي، وتنظيم هذه الإجراءات هو من مهام السلطات العامة التي تقوم بها لتحقيق في الجريمة ومحاكمة مرتكبيها وتنفيذ العقوبة فيهم. أما بالنسبة لمختلف النصوص القانونية سواء في القانون المصري أو الفرنسي المتعلقة بالحماية الجنائية لتداول الأوراق المالية، ونظرًا للطبيعة الخاصة لجرائم البورصة، فإن دراستها تتطلب أن تنقسم هذه الدراسة إلى قسمين: [القسم الأول: الحماية الجنائية الموضوعية لتداول الأوراق المالية، القسم الثاني: الحماية الجنائية الإجرائية لتداول الأوراق المالية].
