يقع على عاتق البنوك دور كبير في خلق الإئتمان وتوزيعه من أجل دعم نشاط المشروعات الإقتصادية، وهو دور مسلم به في النظم الرأسمالية والإشتراكية على حد سواء.
والإئتمان يفترض الثقة، والثقة لا تقوم إلا في إطار من الكتمان يسمح باذكائها وتبادلها، ولذلك جرت العادة منذ نشأة البنوك على كتمان نشاطها، ولا سيما إذا تعلق الأمن بالأسرار المعهودة إليها من عملائها إحتراماً للثقة المتبادلة.
ويحول هذا الإلتزام للبنك، بل يوجب عليه، أن يحتج بالسر في مواجهة المحاولات التي تستهدف كشفه حتى يتجنب المسؤولية المترتبة على الإخلال بإلتزامه.
غير إن الإحتجاج بالسر قد يتعارض مع مصالح أخرى، عامة أو خاصة، فالعملية المصرفية قد تتعلق بها مصالح عامة (كالضرائب والرقابة على البنوك والرقابة على النقد...) وقد تتعلق بها مصالح خاصة (للدائنين والشركاء والورثة...) فتبدو محاولات من جانب بعض السلطات العامة أو الأشخاص الخاصة، وبوسائل متعددة، للكشف عن تفصيلات العملية المصرفية من أجل المطالبة بحقوقهم.
هذا التعارض بين مصلحة العميل في حفظ أسراره، ومصلحة آخرين في كشف السر يستلزم ضرورة الإلتجاء إلى قواعد ملائمة للتوفيق بين هذه المصالح المتضاربة، ويتكون من مجموعها النظام القانوني الذي يحكم الكتمان المصرفي.
لهذا خصص المؤلف هذا البحث لتحديد الإطار العام للكتمان المصرفي حيث وضح فيه مظاهره التاريخية، والفلسفية التي يقوم عليها والإعتبارات التي تدعو إليه، والإتجاهات المختلفة في التشريعات الحديثة في هذا الصدد.
