يتناول المؤلف في هذا الجزء وهو الثاني تحت عنوان النظرية العامة للالتزام دراسة أحكام الالتزام في القانون المصري والقانون اللبناني، فيدرس أولاً آثار الالتزام بوجه عام، من ثم يتوقف عند الأوصاف والقيود المعدلة لأثر الالتزام، بعد ذلك ينتقل لدراسة انتقال الالتزام سواء من ناحية الإيجابية، أي حوالة الحق أو من ناحية السلبية، أي حوالة الدين, من ثم ينتقل وفي مرحلة ثالثة لدراسة الأسباب المختلفة للانقضاء الالتزام، الانقضاء بالوفاء، أو بما يعادل الوفاء، انقضاء الالتزام دون وفاء.
