ركز المؤلف دراسته في الجزء الأول على عرض للنظرية العامة للموجبات المدنية ومن ثم انتقل الى دراسة العقد كمصدر من مصادر هذه الموجبات. فتناوله منذ المرحلة التمهيدية مروراً بالمفاوضات ومن ثم بالخطوات المؤدية الى ابرامه. بعدها تناول المؤلف اركان العقد وشروط صحة إبرامه والعيوب التي يمكن أن تطرأ على تكوينه واثرها والأحوال التي يمكن فيها إبطال العقد وفسخه، كما قام بدراسة تنفيذ العقد وما يمكن ان يعترضه من عقبات وكيفية تجاوزها مروراً بنظرية الظروف الطارئة ومنتهيا إلى الرقابة القضائية على العقد. لا شك في أن الباحث والدارس سيجدان الأجوبة المناسبة على المسائل التي يمكن أن يثيرها ابرام وتنفيذ العقد مؤيدة بالآراء الفقهية والاجتهادية الحديثة.
