نبذة النيل والفرات: من المسلم به أن المجتمع ليس إلا شبكة من المعاملات -وهذه المعاملات ما هي إلا عقود والتزامات. وأياً كان جوهر هذه المعاملات، اقتصادياً أو تجارياً أو مالياً فلا بد له من قالب قانوني يصاغ فيه وقواعد قانونية تنظمه. فعمليات البنوك والأوراق التجارية، والبورصة المالية، والعقود اليومية، من ركوب لوسائل المواصلات، ومن شراء وبيع لمستلزمات الحياة مهما قل شأنها فكل ذلك ينظمه القانون ويحدد الإطار الذي يتم فيه والآثار التي تترتب عليه. ومن ذلك يصبح واضحاً أهمية دراسة القانون لطالب كلية التجارة. فهذه الدراسة توضح له البديهيات القانونية مما يسهل له الإدارة وسرعة اتخاذ القرار الملائم دون تجاوز أو مخالفة ودون خشية أو تردد. وهذا وحده هو قوام المجتمعات الحديثة التي تتسم بالسرعة والدقة. وبالإضافة إلى ما تقدم فإن معظم العلوم التي تدرس بكليات التجارة تعتبر من صميم العلوم الإنسانية والاجتماعية. والقانون ليس إلا أحد هذه العلوم مما يوثق الصلة ويعزز الارتباط بينهما ويؤكد ضرورة وأهمية الدراسات القانونية في التكوين الفكري والقانوني لطالب كلية التجارة. ومما يجب أن نوضحه من الآن أن هذه الدراسة تتناول أساسيات القانون دون الدخول في التفصيلات التي لا تهم إلا المتخصص في الدراسات القانونية وعلى ذلك فسوف تهتم هذه الدراسة بإلقاء الضوء على شتات من الموضوعات منها ما هو متعلق بالقاعدة القانونية ومنها ما هو متعلق بنظرية الحق في جزء أول، وفي جزء ثان سيتم تعرض لنظرية الالتزام بصفة عامة.
