لقد استقر فقه القانون الدولي الخاص، في نطاق العقود الدولية ( العقود ذات العنصر الأجنبي) الخاصة بالمعاملات المالية، في نطاق القانون الخاص على السماح لأطراف العقد باختيار القانون الذي يحكم العقد، وقد أخذت غالبية تشريعات الدول بهذه القاعدة... وقد كرسها القانون الدني العراقي في المادة 25/1 منه.
وفي هذا السياق يدرس "عوني محمد الفخري" موضوع اختيار القانون واجب التطبيق على العقود الدولية التجارية والمالية والنظريات الخاصة به، إضافة إلى الفقه الأوروبي الحديث بشأن القانون واجب التطبيق على العقود الدولية والذي عبرت عنه إتفاقية روما لسنة 1980 في نطاق المجموعة الإقتصادية الأوروبية (الإتحاد الأوروبي حاليا) والتي لا زالت قيد النفاذ وستحل مكانها لائحة المجلس الأوروبي المسماة (روما 1) إعتبارا من 17 كانون الأول 2009 وهذه اللائحة يعتبرها المؤلف:" قد حافظت على تقديس حرية الأطراف المقيدة نوعا ما في اختيار القانون واجب التطبيق على العقود الدولية ...".
وللإطلاع أكثر على النصوص القانونية التي تجيز اختبار قانون أجنبي في عقد وطني ترتبط كل عناصره في بلد واحد فقط وعلاقتها بالقانون العراقي ذي العلاقة بالموضوع قسم المؤلف دراسته إلى عشرة فصول بعناوين مختلفة هي: مصدر إستقلال الإرادة، قيود على ممارسة سلطان الإرادة، صحة شرط إختيار القانون وشرط أختيار المحكمة، إرادة الإختيار الضمني، تجزئة العقد، حماية الطرف الضعيف إقتصاديا، القواعد القانونية الآمرة، أعمال القواعد ذات التطبيق الضروري، التداخل بين المسؤولين العقدية والتقصيرية.
