يمكن تعريف الإلتزام بأنه رابطة قانونية بين شخصين يلتزم بمقتضاها أحدهما، ويسمى المدين، بالقيام بأداء مالي لمصلحة الأخير، الذي يسمى الدائن، وإذا كان الإلتزام رابطة بين شخصين - دائن ومدين - فإن هذه الرابطة تتميز بأنها رابطة قانونية، فالإلتزام واجب قانوني، أي واجب "يعتد به القانون" ويكفل إحترامه وذلك عن طريق الجزاء الذي توقعه الدولة بسلطاتها القضائية والتنفيذية عند تخلف تنفيذه.
لهذا لدراسة نظرية الإلتزام يجب التعرض أولاً لمصادر الإلتزام، أي الأسباب القانوني التي تنشئ الإلتزام، ومصادر الإلتزام وفقاً للتشريعات الحديثة هي العقد والإرادة المنفردة والعمل غير المشروع والإثراء بلا سبب والقانون، فإذا ما وجد الإلتزام عن طريق أي من هذه المصادر، تعين التعرف على أحكامه وذلك بدراسة آثاره والأوصاف التي قد تلحق به وإنتقاله وأخيراً إنقضائه.
وعلى ذلك فهذه الدراسة لنظرية الإلتزام تنقسم إلى قسمين: الباب الأول: المصادر الإرادية للإلتزام، الباب الثاني: المصادر غير الإرادية للإلتزام.
