يتناول المشرع المعاملات المالية بالتنظيم على إفتراض أُحادية طرفيّ الإلتزام، لكن تعدد الدائنين أو المديّنين أو كلاهما أمر وارد، والقاعدة البديهية عندئذ هي إنقسام الإلتزام فتعدده، متى كان محله مبلغاً معيناً من النقود، فلا يلتزم كل مديّن إلا بنصيبه من الديّن، كما لا يحق لكل دائن إلا أن يُطالب بنصيبه.
ولقاعدة إنقسام الديّن عند تعدد المديّنين نتائج سلبية، إذْ سيضطر الدائن إلى مطالبة كل مديّن بحصته وقد يتعرض إلى خطر إعسار أحدهم.
لذلك غالباً ما يلجأ الدائن في الإلتزامات الإنفاقية إلى إشتراط إلتزام المديّنين قبله بجميع الديّن، وهذا هو الإلتزام التضامني؛ كما إن المشرع قد يتدخل في أحوال معينة بالنص على تضامن المديّنين؛ فالإلتزام التضامني يتحدد من جهة مصدره بالإتفاق أو بنصِّ في القانون.
وإلى جانب الإلتزام التضامني، هناك حالة يلتزم فيها المديّنون بجميع الديّن من غير أن ينقسم، وهي إلتزام الكفيل بالمال والمديّن قبل الدائن، وعلة عدم الإنقسام أن إلتزام الكفيل تالٍ في نشأته على إلتزام المَدِين الأصلي، فهو ضامن لإلتزام قائم إبتداءً في ذمة غيره، ويقوم بين الإلتزام التضامني والكفالة فروق تخرج الأخيرة من نظرية الإلتزام لمصلحة الإلتزام التضامني، فالأخير هو الأصل التاريخي لنشأة الكفالة، وإلتزام الكفيل إلتزام تبعي إحتياطي، فيما إلتزام المديّن المتضامن إلتزام أصلي رئيس.
