يعد عقد البيع واحداً من أهم العقود بل انموذجاً في قواعده تستمد منه الأحكام لحل الكثير من المشاكل العملية ومن صلب البيع أن تنتقل الملكية، فإن لم تنتقل الملكية لا يوجد بيع، ولكن التساؤل يثور: ماذا لو تراخى هذا الأثر؟ أي لو أبرم عقد البيع وظل البائع مالكاً، إلا يتناقض ذلك مع جوهر البيع وحينئذ تصبح طبيعة هذا العقد محل غموض؟ فهل يمكن أن يكون الإحتفاظ بالملكية ضماناً للبائع في الحصول على الثمن، وهل أن دفع الثمن شرط يتوقف عليه إنتقال الملكية ومن ثم إلا يتناقض ذلك مع القاعدة القانونية بأن الملكية لا تقترن بأجل؟.
تساؤلات كثيرة يثيرها هذا الموضوع وهي ليست نظرية بحتة وإنما مقرونة بالواقع العملي لما يترتب من نتائج في ظل الإجابة عليها، ومهما كتب عن هذا الموضوع الذي لم تخصص له دراسة تشتمل على جميع مضانه، يبقى موضوعاً حيوياً يثير كثير من الجدل الفقهي والتأمل.
ومن هنا جاء إختيار الكاتب موضوعاً لرسالته، حيث تناول موضوع إحتفاظ البائع بالملكية بفصل تمهيدي دور عقد البيع في إنتقال الملكية وذلك بدراسة إنتقال الملكية وحرية التعاقد للإحتفاظ بالملكية وذلك بمطلبين الأول، خصصه لتعريف الإحتفاظ بالملكية وتحديد خصائصه ثم تناول في المطلب الثاني تمييز الإحتفاظ بالملكية عما يشبه به من أوضاع قانونية، ثم تناول في الفصل الأول الطبيعة القانونية لإحتفاظ البائع بالملكية وأثره في عقد البيع وذلك بمبحثين: الأول، خصصه للطبيعة القانونية لإحتفاظ البائع بالملكية، والثاني، لتأثير الإحتفاظ بالملكية في طبيعة عقد البيع.
وتناول في الفصل الثاني أحكام الإحتفاظ بالملكية بين أطراف العقد، وذلك في أربعة مباحث: الأول، خصصه لمركز المشتري والثاني، لتراخي إنتقال الملكية والثالث، لحكم إحتفاظ البائع بالملكية على تبعة هلاك المبيع والرابع، خصصه لأجل الإحتفاظ بالملكية؛ وتناول في الفصل الثالث حكم الإحتفاظ بالملكية قبل الغير وذلك بثلاثة مباحث: تناول في الأول حكم الإحتفاظ بالملكية قبل الدائنين، والثاني، لحكم الإحتفاظ بالملكية قبل الغير المتصرف إليه بالمبيع والثالث، لضمانات البائع في حال تصرف المشتري بالمبيع، فإذا تم البحث في ذلك وصل إلى خاتمة للموضوع.
