معلوم أن قانون التجارة قد تكلم عن الأسناد التجارية، إلا أن هذه الإسناد تخضع لقواعد خاصة مستقلة عن القواعد القانونية الأخرى، وهذا ما يُعرف بالنظام المصرفي أو قانون الصرف الذي تحكمه عدة مبادئ أهمها، مبدأ أو قاعدة شكلية الإسناد التجارية وكفايتها الذاتية وقاعدة إستقلال الإلتزام الصرفي أو إستقلال التواقيع الحاصلة على نفس السند وكذلك قاعدة تقوية ضمانات حامل السند التجاري.
وهذا ما يميز مفهوم قانون الأسناد التجارية والإفلاس عن مفهوم القانون المدني العام والإعسار كما سنرى لاحقاً.
وما يبرر خضوع الأسناد التجارية إلى بعض القواعد القانونية الخاصة هو إن الأسناد المذكورة هي أوراق يتعامل بها التجار عادة بقصد تسهيل حركة الديون والإئتمان بطريقة سهلة هي التظهير.
ومن الرجوع إلى قانون التجارة اللبناني الصادر بتاريخ 24 كانون الأول عام 1942 نجده يحتوي على خمسة كتب، فالكتاب الأول يشتمل على المواد 1 حتى 41 التي يتكلم عن التجارة بوجه عام وعن التجار والمؤسسة التجارية، في حين أن الكتاب الثاني يتكلم عن الشركات وذلك في المواد 42- 453، ويتكلم الكتاب الثالث عن العقود التجارية في المواد 254 حتى المادة 314.
