(الأسناد التجارية والإفلاس) كتاب يبحث في أحكام الإفلاس والأسناد التجارية، وفق قانون الموجبات والعقود في لبنان، فقد نصّت المادة 268 من قانون الموجبات والعقود على أن للدائن حق ارتهان عام على مملوك الديون. كما نصت المادة 369 من القانون عينه على أن لحق الإرتهان العام هذا خصائص كل منها وسيلة موضوعة رهن تصرف الدائن ليتمكن بها من الحصول على ما يحق له. وهذا الكتاب، يبحث في المواد والوسائل الموضوعة بتصرف الدائن بعضها إحتياطي، والآخر تنفيذي وذلك وفقاً للقانون، ويهدف هذا القانون إلى حماية حقوق الدائنين مع مراعاة المدين حسن النية وتمكينه من النهوض من كبوته واستئناف نشاطه التجاري.
ونظراً لأهمية البحث في هذا الموضوع يقسم الكاتب دراسته إلى قسمين:
الكتاب الأول: (في الإفلاس) والكتاب الثاني (في الأسناد التجارية). ويبحث الكتاب الأول في الشروط الأساسية لافتتاح الإفلاس وفق قانون التجارة اللبناني وهو نص المادة 489 الذي ينص "يعتبر في حاله إفلاس كل تاجر يتوقف عن دفع ديونه التجارية وكل تاجر لا يدعم الثقة المالية به إلا بوسائل يظهر بجلاء أنها غير مشروعة". ويأتي هذا القسم – الأول – في ثلاثة ابواب: الباب الأول بعنوان: في الإفلاس، الباب الثاني بعنوان: الصلح الإحتياطي أو الواقي شروطه ومفاعيله بالنسبة للدائن والمديون، والباب الثالث: إعلان الإفلاس حكمه – صفاته – ضرورة صدور حكم فيه، مفاعيله بالنسبة للدائنين ومن ثمّ آثاره، والحلول ... الخ.
أما الكتاب الثاني فيبحث في (الأسناد التجارية) ويقصد بها المؤلف ثلاثة: سند السحب وسند الأمر والشيك. يدرس في الفصل الأول منه إنشاء سند السحب ومؤونته وانتقاله وقبوله وكفالته وإيفاءه وسندات المجاملة. أما في الفصل الثاني فيدرس إنشاء سند الأمر، وانتقاله، وإيفاءه. يتبع ذلك الفصل الثالث ويدرس فيه إنشاء الشيك، ومؤونته، وانتقاله، وكيفية إيفائه. أما الفصل الرابع فيخصص لسائر الأسناد التجارية.
