إن للتشريع الروماني اليد الطولى في تحديد الأُطُر الرئيسية لنظام الإفلاس بمفهومه الحالي، إذ أن التشريع المذكور أعطى للدائنين الحق في وضع يدهم على جميع أموال المدين وإدارتها بواسطة وكيل عنهم يتولّى بيعها وتوزيع ثمنها عليهم بنسبة دَيْن كل منهم.
وبالفعل، إن الإفلاس هو حالة قانونية يوجَد فيها التاجر المنقطع عن دَفْع ديونه التجارية في مواعيد إستحقاقها، وقد حدّدت المادة 489 من قانون التجارة الشروط الموضوعية لهذه الحالة، مُفَنِّدة إياها بوجوب كَون المدين تاجراً، منقطعاً عن دفع ديونه التجارية، بحيث إذا تحققت هذه الشروط الموضوعية، جاز لمحكمة الإفلاس شَهْرُ إفلاسه، فيتحقق الشرط الشكلي المتجسّد بصدور حُكم الإفلاس عن المرجع القضائي المذكور.
ومما لا شك فيه أن الإفلاس يشكّل موتاً مدنياً للتاجر، لذا يُعتبر نظاماً متّسماً بالقساوة، نظراً لما يفرضه من إجراءات وعقوبات على المدين المتوقّف عن دفع ديونه التجارية المستحقة، وقد تنتهي التفليسة بحالة الإتحاد بين الدائنين التي تؤدي إلى بيع أموال المفلس وتوزيع ثمنها على هؤلاء، أو تنتهي بالصلح الذي يقضي بتسديد المدين لنسبة معيّنة من الدين أو يمَنْحِهِ آجالاً للوفاء او الأمرين معاً.
ونظراً لتشعب الأمور، المرافقة لنظام الإفلاس، تصدد المؤلف إليها في هذه الأجزاء من كتاب "الإفلاس" مستعيناً بأحكام وقرارات فرنسية، كما بفقه فرنسي مشابه للقواعد التي كرّسها قانون التجارة اللبناني الذي لا تزال نصوصه مرعية الإجراء ومتجانسة مع الفقه والإجتهاد الفرنسيين القديمين.
