الإفلاس نظام جماعي، القصد منه حماية الائتمان التجاري وتحقيق المساواة بين الدائنين في توزيع أموال وموجودات مدينهم الذي أصيبت أعماله وفعاليته التجارية بالارتباك والاضطراب، بحيث أدى هذا الارتباك والاضطراب إلى توقفه عن وفاء ديونه الحالة المستحقة وفاء نقدياً.
والنظام هذا خاص بطائفة معينة من الناس، ألا وهي طائفة التجار دون غيرهم. ولذا فقد أفرد المشترع باباً مستقلاً في التقنين التجاري، حدد فيه، بالتفصيل، الشروط الموضوعية التي، بدونها لا يمكن للقضاء شهر إفلاس التاجر، كما ونظم إجراءات الإفلاس بصورة دقيقة للغاية، بغية تحقيق الهدف الذي من أجله أوجد هذا النظام.
وموضوع الإفلاس واسع متشعب الزوايا، سواء رغب الباحث الدارس التبحر في شروطه الموضوعية، أو أراد التعمق في إجراءاته وفي الحلول التي تؤول إليها هذه الإجراءات (كالصلح البسيط أو حالة اتحاد الدائنين، أو الصلح بتنازل المفلس عن موجوداته، أو إعلان التفليسة لعدم كفاية الموجودات).
وهناك نقطة من أدق النقاط، يصادفها الباحث عند معالجة شروط الإفلاس الموضوعية، نقطة لم يعرها الكثيرون الأهمية التي تستوجبها، والاهتمام الذي تستحقه، وهذه النقطة هي طبيعة الديون المبررة شهر الإفلاس وصفاتها. ونظراً لما لهذه المسألة من أثر على دعوى الإفلاس، فقد اهتم المحامي سمير فرنان بالي أن يقدم على دراستها من جوانبها الشتى، بهدف إبراز الأمور الهامة التي تتصل بها والنتائج المتعددة التي تتشقق عنها.
