يتناول الكتاب فكرة "مضمون العقد بين النزعة الشخصيّة والموضوعيّة"، والتي تنظمها المادة (127) من القانون المدني البحريني، حيث يتشكّل مضمون العقد في إتجاهين متضادّين، الإتجاه الاول يتأتى من خلال النزعة الشخصيّة في تحديد مضمون العقد، وتتجلى فيه الإرادة التعاقدية في تحديد ذلك المضمون، والإتجاه الثاني يتمحور حول النزعة الموضوعيّة التي لا تخضع لإرادة المتعاقدين، بل تساق بها الإلتزامات التعاقدية إلى معايير موضوعية تتمثل في أحكام القانون وقواعد العرف والإجتهادات القضائية.
حاول المؤلف التعرّض إلى موقف المشرّع البحريني في قانونه المدني الذي درج على الإستفادة من مناهج النظم اللاتينية المقارنة، غير أنه لم يهمل الحاجة لإستيضاح موقف القوانين المدنية المقارنة كما في بعض التشريعات العربية والغربية الأخرى كالقانون الفرنسي والمصري والكويتي والإماراتي، ولم يغفل المؤلف إستعراض مواقف بعض النظم القانونية الأنجلوسكسونية، كالقانون الإنجليزي والأمريكي والهندي والكندي وقانون العقود البحريني القديم (الملغى)، حيث أن إستعراض هذه القوانين في سياق البحث والتحليل أمرٌ مفيدٌ جداً في العرض والوصف والمقارنة والنقد والترجيح لمختلف المواقف والإتجاهات الفقهية والقضائية، فضلاً عن المساهمة الفاعلة في خدمة تأصيل الأفكار المطروحة في الكتاب وتأسيسها تأسيساً فقهياً رصيناً.
