يعالج هذا الكتاب مبدأ حجية العقد والذي يعني بتنظيم العلاقة بين المتعاقدين والغير، على أساس الآثار المادية للعقد وليس الآثار العقدية الملزمة، فيتطرق في فصله الأول الى تأصيل مبدأ حجية العقد وبيان أساسه القانوني والعلمي وجذوره التاريخية، ثم يتناول مبدأ حجية العقد في مواجهة الغير أي مدى امكانية احتجاج المتعاقدين أو أحدهما بالعقد في مواجهة الغير الذي ليس له علاقة بالعقد، ثم يتناول مبدأ حجية العقد في مواجهة المتعاقدين أي مدى امكانية احتجاج الغير بالعقد في مواجهة عاقديه (أي احتجاج الغير بالخطأ العقدي للمتعاقد).
ويعتبر الكتاب دراسة مقارنة في القوانين الفرنسية والمصرية والبحرينية، في إطار الآراء الفقهية وأحكام القضاء.
