من المعروف أن القانون بصفة عامة ينظم سلوك الأفراد ومعاملاتهم الحياتية سواء من الجوانب الإقتصادية أو السياسية أو الإجتماعية أو الدينية، أما القانون التجاري فهو وليد البيئة التجارية لذلك يرتبط تاريخه بتاريخ التجارة.
يشكل هذا القانون إحدى أهم التفرعات القانونية كونه ينظم الحياة التجارية بمعناها الواسع ويضع الأطر العامة لممارسة هذه المهنة تاركاً للأفراد مجالاً واسعاً للعمل من خلال عقود تقوم على مبدأ الحرية التعاقدية.
هناك صعوبة في وضع تعريف محدد وثابت لمصطلح "القانون التجاري" بحيث أنه لا يتوقف عند دراسة الأعمال التجارية المتعارف عليها باللغة الدارجة، بل يتعداها ليشمل دراسة العلاقات التجارية في القطاع الذي يرسمه الإقتصاد باسم توزيع البضاعة، والصناعة والشركات والمؤسسات أو المنشآت التي تشكل بمجملها فرعاً من فروع القانون.
إلا أن الفقه عرّف القانون التجاري، بأنه مجموعة القواعد القانونية التي تطبق على الأعمال التجارية وتنظم حرفة التجارة، ومعنى ذلك أن القانون التجار "هو ذلك الفرع من فروع القانون الخاص الذي يحكم فئة من الأعمال تسمى الأعمال التجارية وطائفة معينة من الأشخاص هي طبقة التجار".
