حدد المشرع شكلاً معيناً للورقة التجارية، باعتبارها أداة عقد الصرف فأشترط المشرع توافر بيانات معينة فيها، ولم يكتفي المشرع بذلك، بل رتب جزاء إغفال هذه البيانات منها فقدان الورقة لصفتها كورقة تجارية كافية لخضوعها لأحكام قانون الصرف، ونظراً لأهمية الورقة التجارية انعكس ذلك على المشرعين في مختلف الدول بتنظيمها تنظيماً يكفل للمتعاملين بها تعرف حقوقهم والتزاماتهم، وتطور هذا التنظيم في حدود متفاوتة في الدول المختلفة، واجتمعت هذه الدول في سلسلة من المؤتمرات بغية توحيد الأحكام المنظمة للأوراق التجارية، وعلى هذا جرى تقسيم الكتاب إلى قسمين سوف نتناول الأوراق التجارية في التشريع المصري، وبعض التشريعات العربية في القسم الأول، وفي القسم الثاني نتناول الإفلاس في القانون المصري وبعض التشريعات العربية، والقسم الول سوف نقوم بدراسة أحكام الكمبيالة في باب أول، ثم السند لأمر في الباب الثاني، والشيك في الباب الثالث.
