تتجلى أهمية هذا البحث بالدور الفعال الذي تلعبه شركات الوساطة في سوق الوراق المالية ولما تتمتع به من مركز قانوني متميز، لأن التعامل في البورصة لا يكون مباشرة بين العملاء بل لابد عن طريق شركة الوساطة، أي احتكار شركة الوساطة التعامل في الأوراق المالية في البورصة، وبذلك فإن لها سلطة واسعة يمكن لها إذا استغلتها أو أساءت استعمالها تتسبب في انهيار السوق والتأثير على الإقتصاد، والمنهج المعتمد في هذا البحث هو المنهج التحليلي المقارن، وذلك من خلال تحليل النصوص القانونية المتعلقة في موضوع البحث وكذلك المقارنة بين القانون العراقي (القانون المؤقت لسوق الأوراق المالية رقم 74 لسنة 2004، ومشروع قانون الأوراق المالية العراقي الجديد) والقانون المصري، وسوف نقسم هذا البحث إلى ثلاثة فصول، سنخصص الفصل الأول بالتعريف بسوق الأوراق المالية وشركة الوساطة، حيث نتناول في هذا الفصل ماهية سوق الأوراق المالية وتقسيمات سوق الأوراق المالية والتعريف بشركات وساطة الأوراق المالية والأصول التاريخية لها، بينما سنتكلم في الفصل الثاني عن المركز القانوني لشركات الوساطة في الأوراق المالية وهذا يشمل بدوره شروط وحقوق وإلتزامات شركة الوساطة في سوق الأوراق المالية، بينما سنتكلم في الفصل الثالث عن النظام القانوني لعمل شركات الوساطة والرقابة عليهم وهذا يشمل بدوره تنفيذ شركات الوساطة للأوامر داخل سوق الأوراق المالية وآلية عمل شركات الوساطة وفقاً لنظام الإيداع المركزي، والرقابة على عمل شركات الوساطة ومسؤوليتهم. وسنختم هذا البحث بخاتمة أوضح فيها الإستنتاجات التي سنتوصل إليها، والتوصيات التي نقترحها.
