تستأثر الشركات المساهمة، بوجه عام، بإهتمام المشرعين في مختلف دول العالم، نظراً لما لهذه الشركات من أهمية وفاعلية، سواء على صعيد النشاط الخاص أو العام.
فعلى الصعيد الخاص: يلاحظ أن هذه الشركات، بما تتمتع به من تنظيم قانوني، تتسع لتشمل كل القطاعات الإقتصادية، من تجارية وصناعية وزراعية وإستثمارية، بما ينتج لأصحاب رؤوس الأموال تنظيم أعمالهم عن طريقها، مهما إتسعت هذه الأعمال وتشعبت، كشركات المصارف والضمان والمصانع والمؤسسات المالية، والمشاريع الزراعية، وغيرها من الأعمال.
وعلى الصعيد العام: تخضع هذه الشركات لنظام قانوني صارم، يحدد كيفية تأسيسها، وإدارتها، وجمعياتها العمومية، والمواضيع التي يحصر بشركات المساهمة القيام بها، وطرق حل هذه الشركات وإندماجها وإنفصالها، وتصفيتها، من دون أن يترك للمتعاقدين إلا هامش ضيق للتصرف في نطاقه.
غير أن مراقبة هذه الشركات وتوجيهها، يختلف بإختلاف الأنظمة الإقتصادية والسياسية للدولة، فحيث يكون الإقتصاد موجهاً، تكون رقابة الدولة عليها أكثر قوة وفاعلية، وحيث يكون الإقتصاد حراً وقائماً على المبادرة الفردية، تخف هذه الرقابة لتصبح أقل عبئاً.
في هذا الكتاب، تصدى الدكتور فاروق الجاسم لموضوعه بجرأة وثبات، حاصراً بحثه بالقانونين اللبناني والعراقي، في ضوء القواعد العامة لتأسيس شركات المساهمة، في معالجته للنظام القانوني لمؤسسي الشركات المساهمة، مستعرضاً واقع الشركات المساهمة (المغفلة) في لبنان والعراق، وما تخضع له من سياسية إقتصادية وقيود قانونية، معتمداً، في بحثه، منهجية ثنائية تقليدية، قائمة على تقسيمه إلى بابين، ولكنه قسم كل باب إلى ثلاثة فصول.
ففي الباب الأول تناول المركز القانوني لمؤسسي الشركات المساهمة، وتكييف التصرفات الصادرة عنهم، وذلك في ثلاثة فصول، الفصل الاول: التعريف بالمؤسس، الفصل الثاني: الشروط الواجب توافرها في المؤسس، الفصل الثالث: أحكام تصرفات مؤسسي الشركة المساهمة.
أما الباب الثاني فتناول فيه المؤلف موجبات المؤسسين، وقسمه إلى ثلاثة فصول أيضاً هي: الفصل الأول: الموجبات المتعلقة بالأعمال التمهيدية للتأسيس، الفصل الثاني: الموجبات المتعلقة بجمع رأس مال الشركة، الفصل الثالث: الموجبات المتعلقة بالأعمال الختامية للتأسيس والمسؤولية الناشئة عن هذه الأعمال.
