تعد شركة الوساطة المالية من أهم أركان سوق الأوراق المالية، حيث لا يمكن تصور تداول أية ورقة مالية مقيدة في السوق إلا عن طريق تلك الشركة. ومن هذا المنطلق، فإن القوانين المقارنة قد قيدت ممارسة نشاط الوساطة المالية بحصول الشركة على ترخيص سابق من الجهات المشرفة على السوق.
إن مبدأ حماية المستثمر وأبعاد التضليل عنه يتحكم في القوانين المقارنة موضوع الدراسة في إقرار جملة من الإلتزامات على شركة الوساطة المالية.
أهمية هذه الدراسة تكمن في أنها تناولت النظام القانوني لشركة الوساطة المالية بصورة مفصلة من عرض تعريفها وخصائصها وتمييزها عما يشتبه بها والبحث في أهم الإلتزامات الملقاة على عاتقها مقابل الحقوق التي تتمتع بها، بالإضافة إلى دراسة كيفية تأسيس شركة الوساطة المالية وإدارتها ومدى مراعاة القوانين المقارنة لخصوصية تلك الشركة في مرحلة تاسيسيها وإدارتها. كما تطرقت الدراسة إلى كيفية تكوين رأس مال الشركة وأنواع الحصص المقدمة فيه والرقابة على أدائها والجهات التي تقوم بهذه المهمة.
بالإضافة إلى كل ما تقدم تناولت الدراسة مدى تحقق المسؤولية القانونية بأنواعها المختلفة في حالة إخلال الشركة بأحد التزاماتها القانونية أو العقدية أو القواعد المتعلقة بالحفاظ على توازن سوق الأوراق المالية. كما تناولت الدراسة طرق انقضاء شركة الوساطة المالية.
عرضت الدراسة مواقف القوانين المقارنة إزاء المواضيع المطروحة فيها وبيّنت مواقع القصور. وانتهت الدراسة بجملة من الإستنتاجات والتوصيات المقترحة على المشرع العراقي وذلك بتعديل جملة من النصوص القانونية الواردة في قانون الشركات والقانون المؤقت لأسواق الأوراق المالية. بالإضافة إلى التوصية بجملة من المقترحات التي من الضروري أن تعكس على القانون الذي من الضروري إصداره لتنظيم سوق المال بصورة عامة في العراق.
