إن تناثر القواعد التي تحكم بنوك الاستثمار في القانون العراقي من حيث تأسيسها وإدارتها والرقابة عليها وكذلك الغموض الذي يحكم نشاطها من جهة، والنقص والغموض في القواعد الحالية اللذين يحكمان نشاط هذه البنوك من جهة أخرى، أديا إلى أن يكون دور بنوك الاستثمار في العراق وفي اقليم كوردستان غير واضح ويكتتفه الغموض ليس في الوسط القانوني فحسب بل في الوسط المصرفي أيضاً، وعلى الاخص في هذا المجال، فالبنوك التي تم ترخيصها في العراق (باعتبارها بنوكاً استثمارية) هي في واقع الحال تمارس الأعمال المصرفية التقيليدية بعيداً عن الوظيفة الاستثمارية، مما يجعل دورها ضعيفاً في عجلة التنمية الاقتصادية مما تتطلب الحاجة إلى بيان النظام القانوني الذي يحكم تلك البنوك.
وبناء على ما تقدم، نقسم هذه الدراسة إلى بابين، نخصص الباب الأول لدراسة ماهية بنوك الاستثمار وتأسيسها وادارتها والرقابة عليها ومن خلال ثلاثة فصول، لدراسة ماهية بنوك الاستثمار في الفصل الأول، وتأسيس بنوك الاستثمار في الفصل الثاني، وإدارة هذه البنوك والرقابة عليها في الفصل الثالث.
أما الباب الثاني فنخصصه لدراسة الأحكام المنظمة لوظائف هذه البنوك، ونقسمه إلى ثلاثة فصول، نتناول في الفصل الأول وظيفة الاكتتاب في الاوراق المالية، وفي الفصل الثاني وظيفة الوساطة في السوق الثانوي، وفي الفصل الثالث وظيفة توريق الديون، ونختم الدراسة بما نتوصل إليه من استنتاجات وتوصيات، آملين أن نكون قد اوفينا الموضوع حقه.
