يتناول القانون المدني في الدول المختلفة، بصفة عامة، نوعين من الروابط أو العلاقات: روابط الأحوال الشخصية، وروابط الأحوال العينية. ولكن القانون المدني المصري، وغيره من قوانين البلاد العربية، قد عني بصفة خاصة بتنظيم ما يتعلق بمسائل الأحوال العينية فقط، أما مسائل الأحوال الشخصية، فقد ترك تنظيمها، في الأصل، للشرائع الدينية، الشريعة الإسلامية والشريعة المسيحية، والشريعة اليهودية.
وفي صدد المسائل المتعلقة بالأحوال العينية أو المالية، أورد القانون المدني الأحكام المتعلقة بها في مجموعة واحدة، وهي المجموعة المدنية، وهي تنقسم إلى قسمين رئيسيين: أحدهما خاص بالالتزامات أو الحقوق الشخصية، والقسم الثاني خاص بالحقوق العينية. وفي القسم الأول عرض القانون للالتزامات بوجه عام، وللعقود المسماة. وفي هذا الكتاب ستقصر الدراسة على الالتزامات بوجه عام، أو النظرية العامة للالتزامات. وتلقى هذه النظرية عناية فائقة نظراً لأهميتها الخاصة بالنسبة لفروع القانون المختلفة، وليس فقط بالنسبة للقانون المدني. وتبرز هذه الأهمية نظراً لأن أحكامها تكون شطراً هاماً من القانون المدني. الذي يعد القانون الأساسي، ليس فحسب بالنسبة لفروع القانون الخاص المختلفة، بل وأيضاً بالنسبة لفروع القانون العام، حيث تلعب دوراً كبيراً في هذا المجال.
