دراسة نظرية الالتزام إنما تتصل في حقيقة الأمر بدراسة الوقائع القانونية فالوقائع الطبيعية التي تحدث بفعل الطبيعة دون تدخل إرادة الإنسان قد يترتب عليها القانون أثار (أو التزامات معينة) فواقعة القرابة مثلًا يترتب عليها القانون التزامًا بالنفقة، ولذلك يمكن إرجاع مصدر هذا الالتزام إلى القانون مباشرة.
وبناء على ما تقدم تتحدد مصادر الالتزام وفقًا للمنطق القانوني، فتكون هي: (العقد- الإرادة المنفردة- العمل غير المشروع- العمل النافع- القانون)، ويلاحظ أن التقنين المدني المصري الحالي قد اتبع هذا التقسيم المنطقي لمصادر الالتزام، فتكلم أولًا عن العقد في المواد من 79 إلى 161 ثم الإرادة المنفردة في المادة 162 ثم عرض للعمل غير المشروع في المواد من 163 إلى 178، والعمل النافع (الإثراء بلا سبب) في المواد من 179 إلى 197، وأخيرًا عرض للقانون كمصدر من مصادر الالتزام في المادة 198، وبناء على ما تقدم تتحدد موضوعات البحث في مصادر الالتزام حيث تنقسم هذه الدراسة إلى خمسة أبواب: الباب الأول: العقد، الباب الثاني: الإرادة المنفردة، الباب الثالث: العمل غير المشروع، الباب الرابع: العقل النافع (أو الإثراء بلا سبب)، الباب الخامس: القانون.
