لما كانت الجمعيات العامة للمساهمين هي صاحبة السلطة العليا في الإدارة شركة المساهمة، حيث تملك هذه الجمعيات سلطات واسعة في اتخاذ القرارات الخاصة بالإدارة. ولما كانت قرارات الجمعيات العامة تخضع لمبدأ الأغلبية حيث أن القانون يعطي لمن يملك أغلبية رأس المال الحق في إدارة الشركة، لذلك فقد كشف الواقع العملي عن تحكم بعض أصحاب الأموال في أغلبية الأصوات في الجمعيات العامة بما يكفل لهم توجيه إدارة الشركة بما يحقق مصالحهم الخاصة دون مراعاة لمصالح أقلية المساهمين في الشركة.
وإزاء هذا الوضع الذي يمثل إهدار لحقوق المساهم الفرد أو أقلية المساهمين في الشركة فقد اتجهت الحلول القانونية والقضائية إلى تهيئة بعض الوسائل التي تكفل حماية أقلية المساهمين وإعادة التوازن بين مصالح الأغلبية وحقوق الأقلية في شركات المساهمة.
وفي إطار البحث عن هذه الوسائل التي تكفل حماية أقلية المساهمين في شركات المساهمة يأتي هذا الكتاب بمبحثيه الأول نبحث في الوسائل القانونية، ثم في الثاني نبحث الوسائل القضائية. كل في مبحث مستقل.
