يطلق المشرع المصرى تعبير " العقود التجارية" على طائفة من العقود التى نشأت واستقرت فى الوسط التجارى. وقد آثار هذا الوضع فى التشريع المصرى خلافا فى الفقه حول وجود عقود تجارية متميزة عن العقود المدنية . فيذهب بعض الفقه إلى التشكيك فى وجود ما يسمى بالعقد التجارى. نظراً لأن الشبة كبير بين العقود المدنية والعقود التجارية وبالتالى ليس هناك ضرورة لن يكون للعقود التجارية نظام خاص بها بل ان اغلب العقود التى ينظمها القانون المدنى يمكن ان تكون تجارية إذا انطبقت عليها القواعد العامة التجارية.
