ونتناول من خلال بحثنا لحماية المساهم في شركة المساهمة: فصل تمهيدي يحتوى على تحديد دور المساهم في شركة المساهمة في الواقع والقانون دراسة مقارنة مع القانون الفرنسي.
كما ينقسم موضوع البحث إلى قسمين اثنين: القسم الأول: ويتضمن حمية الحقوق المالية للمساهم، والتي تشمل حماية حق المساهم في الحصول على الأرباح وإظهار طرق الوفاء بالأرباح والعقبات التي تحول دون الوفاء بها، كما تناول حق المساهم في الحصول على القيمة الحقيقية للسهم عند تداوله، واستطرد البحث أيضاً حق المساهم في الحضور والتصويت داخل الجمعية العامة.
القسم الثاني: تناول الآليات القانونية المستخدمة لضمان حقوق المساهم واشتمل على حماية المساهم داخل الجمعية العامة باعتبار أن حق الأغلبية داخلها ليس مطلقها، كما تناول هذا القسم: حق المساهم في رفع دعوى المسئولية ضد أعضاءمجلس الإدارة واستخدام المساهم لدعوى الشركة عن ضرر أصابها مع تحديد مصير التعويض المحكوم به.
