الحمد لله الذي أنزل الكتاب على عبد ورسوله محمد بن عبد الله صلى الله عليه وسلم ومن سار على منهاجه إلى يوم الدين، وارتسم خطاه وعمل بما جاء بسنته وحافظ عليها، وبعد... ففي ظل إزدهار العمليات التجارية عظمت الشركات التجارية، حيث أصبح التعامل، يتم عن طريق التكتلات الكبرى، وليس عن طريق الأفراد أو الشركات الصغرى، ومن ثم باتت الشركات التجارية وخصوصاً الشركات المساهمة هي عصب الحياة الإقتصادية.
وذلك حيث إن شركة المساهمة شركة من شركات الأموال التي تدار عن طريق مجلس إدارة منتخب عن طريق الجمعية العامة للمساهمين فيها، وأصبحت هي الطرف الفعال في كافة المعاملات التجارية، ومن ثم، فإن الأقلية في هذه الشركة قد يتعرضون إلى بعض التعسف من جانب الأغلبية أو من جانب مجلس إدارة الشركة، وعليه يكون من الجدير بالبحث، معرفة ماهية الأقلية وصور التعسف التي تتعرض له، وكيفية حمايتها.
وتكمن أهمية هذا البحث في أنه يتناول موضوعاً بكراً، ولم يأخذ حقه من وقت الفقه - وعلى وجه الخصوص الفقه السعودي، حيث إنه لم يتناول بالقدر الكافي والذي يستحقه هذا الموضوع، وبمقتضى ذلك؛ حاول هذا الكتاب تناول هذا الموضوع وبيان شامل عن الأقلية في شركات المساهمة وكيفية حمايتها في النظام السعودي والقانون المصري محاولاً وضع إطار عام لنظرية تنطبق على الأقلية.
وقد قسم هذا البحث إلى فصلين يسبقهما فصل تمهيدي وذلك على النحو التالي: الفصل التمهيدي: هيئة سوق المال ومفهوم أقلية المساهمين، الفصل الأول: القرارات التعسفية الصادرة ضد أقلية المساهمين، الفصل الثاني: الحماية القانونية لأقلية المساهمين.
