تتعرض الكاتبة "غادة عيسى" إلى أدق المواضيع في القانون التجاري وهو الإتفاقيات بين المساهمين في الشركة المساهمة فوضعت دراسة نظرية وعملية حول أهم هذه الإتفاقيات، ساعيةً من وراء ذلك إلى تبيان موقع الإرادة الفردية والحرية التعاقدية في الشركة المساهمة، بعد أن كان الكثيرون يظنون بأنه لم يعد لهذه الإرادة والحرية من مكان أو دور تلعبه في ظل القواعد القانونية الآمرة التي تهيمن على الشركات المساهمة.
ولكن الوصول إلى هذا الهدف (أي إلى إبراز الإرادة الفردية من خلال الإتفاقيات بين المساهمين) لم يكن سهلاً على الكاتبة ليس فقط بسبب هيمنة القواعد القانونية الإلزامية والنظام العام على الشركات المساهمة التي أصبحت أقرب إلى النظام منه إلى العقد، وإنما أيضاً بسبب الغموض الذي يعتري التطبيقات العملية للإرادة الفردية في هذه الشركات، فأغلب الإتفاقيات التي يبرمها المساهمون تبقى سرية في ما بينهم ولا تبصر النور إلا إذا نشأ نزاع حولها، مما زاد المهمة صعوبة.
قسمت الكاتبة موضوعها إلى قسمين: القسم الأول خصصته للبحث في تصنيف الإتفاقيات بين المساهمين في الشركة المساهمة، وخصصت القسم الثاني للبحث في النظام القانوني لهذه الإتفاقيات، ودرست في القسم الأول الإتفاقيات المتصلة برأسمال الشركة وتلك المتصلة بإدارتها في بابين، ثم عالجت في القسم الثاني من البحث صحة الإتفاقيات بين المساهمين وفاعلية هذه الإتفاقيات في بابين أيضاً.
اعتمدت الكاتبة على مراجع غزيرة عامة ومتخصصة في أغلبها باللغة الأجنبية، فجاء عملها موفقاً، كما اعتمدت بشكل كبير وغزير على الإجتهادات الصادرة عن المحاكم.
يعتبر هذا الكتاب من المراجع القانونية المهمة والغزيرة والنادرة في القانون التجاري بشكل عام والشركة المساهمة بشكل خاص.
