تحاول هذه الدراسة استجلاء القواعد القانونية الحاكمة لنظام عروض الشراء، سواء المتعلقة منها بكيفية جريانها والقواعد القانونية الموضوعية المطبقة عليها، أو تلك المرتبطة منها بالممارسات غير المشروعة المصاحبة لهذه العروض وسبل مجابهة عروض الشراء العدائية، وذلك من خلال مقارنة النظم القانونية اللاتينية بالنظم القانونية الانجلوسكسونية المتعلقة بالنظام. والهدف من المقارنة هو بيان أوجه الشبه وأوجه الخلاف بين هذه النظم وكذا الوقوف على أوجه القصور في التشريع المصري المنظم لعروض الشراء. وقد اخترنا لهذه المقارنة القانون المصري والقانون الفرنسي كمثالين للأنظمة اللاتينية، والنظام الأمريكي والنظام الإنجليزى كنموذجين للنظم الانجلوسكسونية.
