تعتبر العروض العامة لشراء الأسهم أحد أساليب الأستحواذ، وإن كانت لا تؤدى مباشرة إلى سيطرة مقدم العرض على المشروع المستهدف إلا إنها تعتبر خطوة فى سبيل ذلك.
وتعد العروض العامة للاستحواذ عملية يتوجه بها مقدم العرض بصفة مباشرة إلى المساهمين فى الشركة المستهدفة (النظام الأمريكى والنظام الإنجليزى) أو بصفة غير مباشرة عن طريق وسيط نزيه هو السلطة المختصة بمراقبة سوق المال (النظام الفرنسى والنظام المصرى) طالباً الأستحواذ على ما يمتلكون من أسهم فى رأس ما هذه الشركة.
ولما كان الهدف الرئيسى من العروض العامة هو هدف إقتصادى يتمثل فى تحقيق المزيد من الربح عن طريق زيادة العائد وخفض النفقات، وأن هذا يتم من خلال السيطرة على إدارة الشركة المستهدفة بالعرض، حيث يتم طرح العرض العام لشراء نسبة من أسهم الشركة المستهدفة تسمح بذلك.
لهذا فإن صد هذا الهجوم الذى يمثلة العرض العام لابد وأن يحقق أحد أمرين أو كليهما الأول: الحد من فرص السيطرة على الإدراة.
والثانى: الحد من فرص الربح، وهو ما يستلزم عرض أساليب الدفاع ضد العروض العامة.
وأخيراً فإن الضرورة تقتضى منا أن نقدم عرضاً تفصيلياً للقواعد التنظيمية للعروض العامة وذلك نظراً لحداثة هذا الموضوع فى السوق المالية المصرية حيث تم تنظيمه بالفصل الثانى عشر من اللائحة التنفيذية للقانون 95 لسنة 1992 والصادر بالقرار الوزارى رقم 12 لسنة 2007.
ونظراً لقلة ما كتب فى هذا الموضوع لاسيما من الجانب الإقتصادى، لذلك فإننا فى هذا البحث سوف نتناول الجوانب الاقتصادية والتنظيمية للعروض العامة لشراء الأسهم وذلك على النحو التالى:

المبحث الثانى: أنواع العروض العامة.
المبحث الثالث: التجارب الدولية.
المبحث الرابع: الدور الاقتصادى للعروض العامة.
