لا يتفق المشرعون على تعريف دقيق لمصطلح العقود التجارية رغم أنه شائع الاستعمال، ذلك كون تحديد الصفة التجارية يكون وفقاً لنظرية الأعمال التجارية. وتتميز العقود التجارية بخصائص عامة، فهي رضائية تنعقد بموافقة الطرفين وهي عقود معاوضة يتلقى فيها كل من المتعاقدين مقابلاً وعوضاً لما يعطي، وهي أيضاً لا ترد إلا على المنقولات دون العقارات. والعقود التجارية تخضع في الأصل للقواعد العامة التي تنص عليها قانون الموجبات والعقود.
في هذا الكتاب يعرض المؤلف لكل ما تتضمنه عمليات العقود التجارية وعمليات البنوك فيتحدث بإسهاب عن القواعد العامة للبيع التجاري ويعالج بعض ا،واع خاصة من البيوع البحرية التي تدخل دراستها في نطاق القانون البحري كما يتكلم المؤلف عن الرهن التجاري العادي والرهن دون انتقال الحيازة، ويتناول كذلك موضوع الوكالة بالعمولة والسمسرة، إذ أن للسمسرة أهمية كبيرة في الوقت الحاضر بسبب صعوبة الاتصال المباشر بين الأشخاص الذين يرغبون في التعاقد.
كما يعرض المؤلف لعمليات البنوك التي تندرج في عداد العقود التي ينظمها قانون الموجبات والعقود كالوديعة والقرض والتأجير وحوالة الحق والرهن، كما يعرض للحسابات المصرفية والودائع المصرفية باعتبارها نقطة البدء في نشاط البنك، كما يتناول أيضاًً العمليات على الصكوك المتداولة وهي الأوراق التجارية والأوراق المالية.
