تعدّ عقود التجارة المتقابلة من العقود الأكثر أهمية في عقود التجارة الدولية في الوقت الحاضر وذلك لفوائدها الإقتصادية الكبيرة وللمنافع التي تعود على الدولة جراء تطبيقها لهذا النهج في تجارتها الدولية، كما لا يفوتنا أن ننوه أنَّ لعقود التجارة المتقابلة عديد من الصور يمكن أن تطبق الدولة واحدة منها أو أكثر والتي تتلخص بأربع صور وهي (المقايضة، والشراء المقابل، وإعادة الشراء، وهذا فضلاً عن الإعاضة بشقيها: الإعاضة المباشرة والإعاضة غير المباشرة).
ممَّا يتطلب وجود تنظيم قانوني يحدد فيه الطبيعة القانونية لهذه العقود والتي تعَّد من طائفة العقود المركبة والتي ينظم جزء منها القانون بقواعد قانونية آمرة لا يمكن الإتفاق على مخالفاتها، وحقوق وإلتزامات أطراف هذه العقود والجزاءات المترتبة على تخلف هذه الأطراف عن تنفيذ إلتزاماتهم، بتحديد نهج التعاقد لعقود التجارة المتقابلة، والتي تبدأ بالتفاوض مروراً بتنفيذ الشروط المفترضة لإبرامها، وصولاً إلى إبرام هذه العقود بتبادل الإيجاب والقبول بين طرفيها وتوقيع عقود التجارة المتقابلة.
هذا فضلاً عن إمكانية دخول طرف ثالث في هذه العقود ليقوم مقام أحد الأطراف في أداء إلتزاماته في العقد الثاني (العقد المقابل) ومناقشة الأسس القانونية التي من الممكن أن تفسر دخول هذا الطرف ليقوم مقام أحد أطراف عقود التجارة المتقابلة، والمسؤولية المترتبة على أطراف عقود التجارة المتقابلة والطرف الثالث الذي يتدخل في العقد المقابل ليقوم مقام أحد الأطراف في تنفيذ إلتزاماته ومن هو المسؤول أمَّام الطرف الآخر هل الطرف الثالث أم الطرف الذي حل محله الطرف الثالث في تنفيذ إلتزامات العقد الملقاه على عاتقه.
