يتضمن هذا الكتاب بحثاً حول عقد نقل التكنولوجيا، وما يثيره من خصوصية، أهمها محل هذا العقد (التكنولوجيا) أولاً، وعدم التكافؤ الذي يغلب على أطراف العلاقة العقدية ثانياً، فقد تناولنا بالتحليل هذه الدراسة من خلال الإستشهاد بالنصوص التشريعية المنظمة للموضوع وما قيل بشأن عقد نقل التكنولوجيا من أراء الفقه وأحكام القضاء ومحاولة تطويع القواعد العامة، لإيجاد الحلول والمعالجات مستعيناً بالمراجع القانونية والفنية المختصة.
ويسهم هذا الكتاب في معرفة التحديد القانوني لعقد نقل التكنولوجيا والتعرف على محل العقد والآليات القانونية التي يتم من خلالها نقل التكنولوجيا، وتحديد التكييف القانوني لعقد نقل التكنولوجيا من خلال تطويع القواعد العامة، كون هذا العقد من العقود غير المسماة في معظم الدول العربية، كل ذلك بهدف التوصل إلى معرفة من هو المتلقي في هذا العقد، وما هي الأحكام القانونية التي تسري بشأنه، لتسهيل تنفيذ هذا النوع من العقود أو لفض المنازعات التي قد تنشأ عنها بين طرفي العقد.
ومن ثم تناولنا وبشيء من التفصيل دراسة الإلتزامات والحقوق التي يستقل بها الطرف المتلقي أو تلك التي يشترك فيها مع الطرف الآخر (المورد)، ومن أهمها الإلتزام بالسرية.
وعرضنا أخيراً في هذه الدراسة أهم النتائج التي توصّلنا إليها وتثبيت المقترحات ومحاولة ملئ الفراغ التشريعي لهذا العقد وتنظيم أحكامه من خلال إقتراح مشروع قانون تنظيم نقل التكنولوجيا في العراق.
