الكتاب الراهن يُعالج موضوع يتعلق يعقد من عقود البنية الأساسية، ألا وهو عقد الكونسورتيوم، الذي له أثر كبير على خطط التنمية الإقتصادية للدولة، إذ أن الخطط المذكورة تتمثل في تشييد أعمال البناء سواء كان ذلك بناء بسيط أو مركب مثل المطارات التي يتم إنشائها على هيئة عقد تسليم مفتاح أو يمثل بمشروعات الهندسة المدنية كشق الطرق ومد الإنفاق وغيرها، والتي يُطلق عليها بشكل عام العقد الإستثماري، والذي قد تعجز شركة واحدة بمفردها على تنفيذه لذا يتم تنفيذها وفقاً لإتفاقات المشاركات، ومنها عقد الكونسورتيوم، قوامه الإتحاد بين مجموعة شركات ذات جنسيات مختلفة أو موحدة، لغرض تنفيذ العقد الإستثماري.
وغالباً ما ينعقد عقد الكونسورتيوم بين طرف وطني ضعيف من الناحية الإقتصادية والفنية، وطرف آخر - أجنبي غالباً - ذو كفاءة إقتصادية وفنية، ونظراً لإرتفاع التكاليف المالية والفنية لعقود الإستثمارات الدولية، فإنه يتم تكوين إتحاد مالي عبارة عن مجموعة شركات تُسمى كونسورتيوم، وذلك بغية تنفيذ هذه العقود فضلاً عن التفاوض مع الطرف الوطني، والأمر الواجب الذكر هنا هو أن الكونسورنيوم لا يتمتع بالشخصية القانونية المستقلة عن أطرافهن إذ تبقى الشركات - الأطراف المتعاقدة - محتفظة بنوع من الإستقلالية على الرغم من قيام التجمع المذكور.
والغاية الأساسية من هذا الكتاب تكمن في تحديد معنى الكونسورتيوم وتحديد طبيعته القانونية، فضلاً عن الوقوف عند مسائل ذات أهمية بالغة إلا وهي تعيين القانون واجب التطبيق على هكذا نوع من العقود، وتحديد مدى إمكان خضوعها لعقد مستقل عن العقد الأصلي الذي قام الكونسورتيوم لغرض تنفيذه.
