لمواكبة كل التحولات الاقتصادية المتلاحقة والسريعة التي يعرفها عالم اليوم، كان من اللازم على المغرب أن يبادر الى تغيير قوانينه في المجالين الاقتصادي والتجاري لتصبح متلائمة مع محيطه الداخلي والخارجي وبهدف خلق جو ملائم للاستثمارات الخارجية عن طريق إزالة العوائق والمساطر الإدارية والقضائية المعقدة بهدف إشاعة جو من الثقة انطلقت عملية التحديث والإصلاح بصدور مدونة التجارة بتاريخ فاتح غشت 1996 لتحل محل القانون التجاري الصادر بتاريخ 12 غشت 1913. لقد عرفت مدونة التجارة عدة تغييرات وتتميمات أهمها القانون رقم 24.04 والقانون رقم 32.10 ،ومشروع قانون تنسخ وتعوض بمقتضاه أحكام المادة 503 من القانون المتعلق بمدونة التجارة كما صادق عليه مجلس النواب. وقد حرصت جل هذه القوانين المغيرة والمتممة للقانون رقم 95-15 المتعلق بمدونة التجارة على مراعاة، في -صياغة المقتضيات القانونية التي تحكم التجارة والمعاملات التجارية، كافة الاعتبارات والشروط التي من شأنها توفير الحماية الكافية لمختلف الأطراف الفاعلة في الحقل التجاري وتمكين السلطات العمومية من بسط مراقبتها على سائر الأنشطة التجارية.
