هذا الكتاب دراسة مقارنة بين قانون الشركات العراقي من جهة وبين القوانين المصري والأردني والفرنسي من جهة أخرى، مع الاهتمام بالزيادة في القانون العراقي، إذا أن قانون الشركات العراقي الجديد رقم (21) لسنة1997. استحدث أحكام جديدة بشأن هذا الموضوع عرّف الكتاب بالرأس المال الشركة المساهمة ومكوناته؛ كون رأس المال يمثّل عنصراً أساسيا وجوهرياً في تكوين الشركة، وبين المفهوم زيادة رأس مال الشركة المساهمة وأسباب، وذلك بسبب تعرف الشركة المساهمة كأي وحدة اقتصادية للعديد من المتغيرات التي تؤثر بشكل مباشر في موجوداتها سلباً أو إيجابا. ولكون زيادة رأس مال الشركة يعد من أهم التعديلات التي تقوم بها الهيئة العامة غير العادية على عقد الشركة، فقد ذكر الكتاب طرق زيادة رأس مال الشركة المساهمة بشكل تفصيلي. وقد فصل الكتاب في إجراءات زيادة رأس مال الشركة المساهمة وأثارها ومؤشراتها الإحصائية. واختتم الكتاب بخاتمة دون فيها النتائج والتوصيات التي تم التوصل إليها.
